Terms of Business

1. Who We Are

Vendor Finance Ireland Ltd t/a Asset Finance Ireland (Vendor Finance) is the full name of the firm and the address is Unit 2, St. Vincent’s Business Park, Finisklin Road, Sligo, F91 N243. These terms of business set out the general terms under which our firm will provide business services to you. They also contain details of our regulatory and statutory obligations and the respective duties of both the firm and you in relation to such services.

2. Authorised Status

Vendor Finance is a Credit Intermediary which arranges or offers to arrange the provision of credit from providers of credit through an online platform for a consumer.

We are authorised by the Competition and Consumer Protection Commission (CCPC) to act as a credit intermediary and are subject to the Consumer Credit Act 1995 (as amended), which regulates the authorisation of, and advertisement by, credit intermediaries.

3. Codes of Conduct

Vendor Finance is subject to the Central Bank’s Consumer Protection Code, Minimum Competency Code, and Fitness and Probity standards which offer protection to consumers. These codes can be found on the Central Bank’s website – www.centralbank.ie.

4. Your Agreement with Us

Your agreement with us consists of these Terms of Business, our Privacy Notice, our Cookie Policy, and any other supplemental terms, policies, and guidelines that we may publish on our website from time to time. These policies are incorporated in this Agreement by reference, and may be updated from time to time.

This agreement governs your access and use of the Vendor Finance services, website, apps, and related technology we offer (“Services”). You should therefore read this agreement carefully and in its entirety. The Agreement sets out the terms of:

  • a) Your registration with Vendor Finance, and
  • b) The use of our services.

Before you can benefit from our Services you are required to:

  • Read these Terms and ticking the box confirming the accuracy of the information provided and your agreement with the Terms, and/or
  • Provide us with such documentation, identification documentation, and information as we may reasonably request to comply with our regulatory obligations.

To be eligible to use the Services of Vendor Finance, you must:

  • Pass our regulatory due diligence checks
  • Not be in breach of these Terms, and
  • Not have had any previous Vendor Finance Account closed by us

You confirm that you have provided the correct information during the process of registering with Vendor Finance. You undertake that, if your details change, you will notify us immediately. You shall bear any losses that occur due to the submission of invalid, incorrect, or inaccurate information.

5. Remuneration

Vendor Finance will receive a commission payment directly from the lender for arranging the finance between them and you, on their behalf. This commission consists of a once-off percentage of the finance amount offered to you under the finance agreement. This percentage rate varies from lender to lender and is capped at 5% of the finance amount.

6. Changes

We may change this Agreement as needed in our sole discretion from time to time either to update it or make other modifications that we consider necessary. For example, we may need to make changes due to changes in applicable law or regulations, due to changes to our business or operations, or due to enhancements or additions to our Services.

If we believe a change will materially impact your legal rights as a user of our Services, or your use of our Services, we will notify you two months prior to the effective date of the change by (i) publishing our amended Terms of Service, Privacy Policy, or Cookies Policy, or (ii) sending an email to the email address associated with your account. The latest version of the Agreement is always accessible on our website at www.vendorfinance.ie.

You are deemed to have accepted and agree to be bound by any changes to the Agreement when you use our Services after those changes are notified.

7. Commencement & Term

These Terms shall commence on the day that you accept these terms at the point of application and shall continue until terminated in accordance with Clause 5 (Changes) and/or Clause 20 (Termination).

You may be required to provide supplemental information to us to be able to use all of the functionality available.

We may stop your access to Vendor Finance Services on reasonable grounds relating to:

  • the security of Vendor Finance;
  • the suspected unauthorised and/or fraudulent use of Vendor Finance’s Services.

If we do stop your access in such instances, we will inform you via written communication.

8. Acceptance of Application and/or Registration

We reserve the right to accept or refuse your registration and/or application, to the extent permitted by applicable law.

9. The Vendor Finance Platform

The Vendor Finance platform is our portal where you can, among other things:

  • provide your personal details information
  • upload all supporting documentation for your finance application
  • review and accept/decline finance terms offered from credit providers
  • view your Vendor Finance information details

You may access the Vendor Finance platform via your unique login link, which is emailed to you on receipt of your finance enquiry.

10. Verification of Identity

By using your Vendor Finance account, you commit to fully cooperate with any requests made by us or our authorised third-party providers to verify your identity or validate your funding sources. Such requests may encompass providing additional information necessary for Vendor Finance to reasonably confirm your identity, including steps to confirm ownership of your phone or validating your details against third-party databases.

We retain the right to close, suspend, or restrict access to your Vendor Finance Account and/or the associated services if we encounter difficulty in obtaining or verifying the required information, or if you fail to comply with our requests as outlined in section 8 of these Terms.

It is your responsibility to ensure that the information on your Vendor Finance account remains accurate and current. Should we suspect any outdated or inaccurate information, we may reach out to you to request further details or initiate the verification process anew.

11. Security

You are required to take all necessary precautions to safeguard your login credentials for accessing the Vendor Finance platform securely. This includes, but is not limited to:

  • Ensuring you log out of your portal access whenever it’s not in use.
  • Keeping your mobile device, used for accessing the Vendor Finance platform, safe and secure by locking it with a robust password or other security measures.
  • Avoiding the practice of writing down or disclosing your login details to anyone.
  • Regularly changing your login credentials.
  • Exercising caution if you receive any SMS, emails, questionnaires, surveys, or links requesting your login details; refrain from providing such information and contact the Vendor Finance team without delay.
  • Ensuring that the mobile device and email account(s) used for communication with us are secure and accessed solely by you, as they may be utilized to reset your login details or transmit security-related information concerning the Vendor Finance platform.

If at any time you think that your log-in details have been compromised, lost, or stolen, or if anyone else has knowledge of them or unauthorised access to your email account or mobile device used for communication with us has occurred, you must promptly inform Vendor Finance of such breaches.

12. Restrictions on the Use of Vendor Finance Services

When utilising or accessing the Services of Vendor Finance, you are required to:

  • a) Adhere to the Agreement
  • b) Adhere to all pertinent laws, encompassing privacy and data protection laws, intellectual property laws, and the rights of third parties, tax laws, export/import laws, and other regulatory requisites linked to your utilisation of our Services.
  • c) Exercise discretion regarding the content you upload, download, display, reproduce, record, copy, or share through our Services.

Prohibited actions include:

  • Utilising Vendor Finance’s Services for unlawful purposes, such as fraud. Vendor Finance will promptly report any suspicious activities and cooperate with relevant law enforcement agencies or regulators.
  • Exploiting or circumventing credit provided by finance institutions through Vendor Finance’s Services or acquiring credit without repaying partially or in full.
  • Violating these Terms, or any other agreements or policies agreed upon with Vendor Finance.
  • Establishing more than one Vendor Finance Account without prior written consent.
  • Utilising the Vendor Finance Services to contravene any law, statute, ordinance, or regulation.
  • Engaging in illegal activities, including the purchase, sale, or facilitation thereof, of illegal goods or services through Vendor Finance’s Services.
  • Infringing upon Vendor Finance’s or any third party’s intellectual property rights, including copyright, patent, trademark, trade secret, or rights of publicity or privacy.
  • Behaving in a defamatory, libelous, threatening, or harassing manner while using Vendor Finance’s Services; furnishing false, inaccurate, or misleading information.
  • Taking actions that excessively burden our infrastructure; transmitting viruses, Trojan horses, worms, or other harmful computer programming routines; using anonymising proxies; employing any automated or manual means to monitor or copy our website without prior written permission; or interfering with Vendor Finance’s services.
  • Engaging in actions that may result in the loss of services from our internet service providers or other suppliers.
  • Evading any Vendor Finance policy or determinations concerning your Vendor Finance account, such as attempting to create additional accounts after rejection or suspension or using someone else’s account.
  • Harassing Vendor Finance’s employees, agents, or other users.
  • Refusing to cooperate in an investigation or provide confirmation of your identity or any information requested by us.
  • Failing to provide further requested information about yourself.
  • Disclosing your access details to others or using anyone else’s mobile app.

If Vendor Finance, at its discretion, suspects a breach of this Clause, actions may be taken to safeguard Vendor Finance, other users, and third parties. Such actions may include, but are not limited to:

  • Closing, suspending, or restricting access to your Vendor Finance Account or any or all of Vendor Finance’s Services.
  • Contacting relevant financial institutions, your bank account providers, and/or alerting law enforcement or affected third parties.
  • Correcting inaccurate information provided by you.
  • Initiating legal proceedings against you.
  • Terminating these Terms or access to the Website.
  • Temporarily or permanently blocking your access to your Vendor Finance account and/or the Vendor Finance platform.

Vendor Finance will strive to furnish relevant information regarding imposed actions, but legal constraints, including the protection of third-party information and non-interference in ongoing investigations, may preclude full disclosure.

13. Suspending Your Use of Vendor Finance Services

We retain the authority and right to modify, suspend, or terminate any facet of Vendor Finance’s Services at our discretion, at any time, without prior notice or liability. This includes alterations to operating hours, availability of services, or any features thereof, without obligation to provide notice or assume liability.

14. Closing Your Account

Your Vendor Finance account will be terminated either at the conclusion of the agreement term as outlined in Clause 6 (Commencement & Term), or upon the termination of these Terms as per Clauses 5 (Changes) and 22 (Termination). Upon closure of your Vendor Finance account, you acknowledge and accept that Vendor Finance will retain your personal data for a period of six years.

You are prohibited from closing your Vendor Finance account in an attempt to evade an ongoing investigation. If such an attempt is made while Vendor Finance is conducting an investigation, your account may be frozen to safeguard all parties involved in Vendor Finance’s Services, its affiliates, or any third party from potential liabilities. Even following the closure of your Vendor Finance account, you remain responsible for any obligations associated with it.

15. Communicating with You

We will act upon instructions which can be communicated via telephone, emails, text, or in writing. Instructions will only take effect once they are actually received by us. If instructions are given over the telephone and accepted by us, we reserve the right to act on them before receiving written confirmation, unless you explicitly instructed otherwise. We will keep you informed about transactions arranged for you via telephone, email, text, or through your portal. Contract notes or finance agreements may be sent to you via post or email. Any modification to these instructions must be communicated in writing.

It is your responsibility to regularly review the Vendor Finance platform, the website, and your primary email inbox, and to open and review communication delivered through these channels. You are required to review notices and your Vendor Finance application history, promptly reporting any questions or apparent errors.

We may occasionally contact you to communicate changes or information regarding your Vendor Finance account. It is your responsibility to regularly check the Vendor Finance platform and ensure that your contact information stored in your profile is up to date. You can contact us in accordance with these Terms via our Vendor Finance team at [email protected].

In order to provide you with appropriate service, there may be instances where we need to contact you without prior invitation. For instance, if financing a specific asset could be beneficial to you, we may wish to inform you accordingly. However, such contacts will only occur between 9am and 5pm on weekdays. We will adhere to any additional restrictions you may impose, provided you have notified us of them in writing.

16. Data Protection

Vendor Finance operates as both a Data Controller and a Data Processor under the General Data Protection Regulations (GDPR). The processing of your data is governed by these Terms, any relevant supplemental terms, as well as our Privacy Policy. Personal information provided by you may be used, stored, or processed for the purpose of providing asset finance brokerage services, administering your account, or for ancillary purposes such as credit inquiries or assessments.

Vendor Finance reserves the right to transmit your information or personal data, as well as activity in your account, to law enforcement institutions, state authorities, and financial institutions if necessary to comply with relevant legislation and to identify any violations of these Terms and relevant legislation.

By providing Vendor Finance with a telephone number (including a mobile telephone number), you consent to receive autodialed and pre-recorded message calls at that number. This consent applies when you provide a telephone number during Vendor Finance account opening or contact us from that phone number. For mobile telephone numbers, you also consent to receive SMS or text messages for service-related matters. Your phone number will not be shared with non-affiliated third parties for their purposes without your consent. However, we may share your phone numbers with our affiliates or other service providers, such as finance companies, who may contact you using autodialed or pre-recorded message calls or text messages.

You acknowledge and agree that Vendor Finance may, at its discretion, monitor or record telephone conversations for quality control, training purposes, or its own protection. While your communications with Vendor Finance may be monitored or recorded without notice, not all telephone lines or calls may be recorded, and Vendor Finance does not guarantee the retention or retrievability of recordings.

You consent to the use of your information in connection with your Vendor Finance account for review, development, and improvement of products and services. This may involve sharing your information with partners, affiliates, agents, distributors, and suppliers for processing Vendor Finance applications and statistical research. Information may also be disclosed as required by law, regulation, or competent authorities to investigate possible fraudulent, unlawful, or unauthorized activity.

Vendor Finance may collect information on how you and other users interact with Vendor Finance’s Services, including transaction details, mobile device information, and other relevant data. This information may be used to facilitate interactions with Vendor Finance’s Services and shared with third parties as necessary.

17. Foreign Exchange Booking

In instances where a foreign exchange rate is booked to facilitate your finance agreement, and you subsequently cancel or back out of the finance arrangement AFTER the rate has been booked, any costs incurred for cancelling the foreign exchange rate will be met solely by you and payable to Vendor Finance Ireland Ltd within 7 days of the rate being cancelled.

18. Conflicts of Interest

Vendor Finance adheres to a policy aimed at avoiding conflicts of interest in the provision of services to you. We have established procedures to manage conflicts of interest that may arise between ourselves and our clients, as well as between different clients and suppliers. However, in the event that an unavoidable conflict of interest arises, we will notify you of this in writing before rendering any service. If you have not received any notification of such conflict, you are entitled to assume that none exists.

19. Intellectual Property

The Vendor Finance Platform, Website, and all associated intellectual property rights, including but not limited to any content, are either owned or licensed by us. Intellectual property rights encompass rights such as copyright, trademarks, domain names, design rights, database rights, patents, and all other intellectual property rights, whether registered or unregistered, globally. Vendor Finance’s intellectual property includes “vendorfinance.ie”, “Vendor Finance”, and all logos related to Vendor Finance’s Services. Additionally, all page headers, customer graphics, button icons, and scripts are service marks, trademarks, and/or trade dress of Vendor Finance. You are prohibited from copying, imitating, or using them without our prior written consent.

We reserve all rights in any intellectual property associated with these Terms, which means we retain ownership of them and have the freedom to utilise them as we deem appropriate. These Terms do not grant you any legal rights in the Vendor Finance platform and/or website, except as necessary to enable you to access the Vendor Finance platform. You agree not to modify, circumvent, or delete any notices contained within the Vendor Finance platform (including any intellectual property notices), particularly any digital rights or other embedded security features with the Vendor Finance platform.

20. Complaints Procedure

If you would like to talk to us about how we could improve our service to you, or if you are unhappy with the service you are receiving, please let us know. Vendor Finance has a written procedure in place for the effective consideration and handling of complaints. Please refer to our Complaint Policy for our full procedures.

21. Disclosure of Information

At Vendor Finance, we prioritise the authenticity of all data received. As part of our application process, when verifying your identity, we may request you to undergo a 12-point verification check on your photo ID, facilitated by a third party. Failure to disclose material information may result in the invalidation of your finance application and render it void.

This agreement does not impose any obligations on Vendor Finance to execute or undertake any transaction on your behalf. We reserve the right to refuse to execute any transaction at our sole discretion.

22. Termination

Your Rights:

  • a) You have the right to terminate this agreement at any time by notifying us anytime at [email protected] and providing your account details.
  • b) For security purposes, we will confirm with you via email before closing your account. Upon confirmation, we will close your account and deactivate your login ability. Your account data will be removed in accordance with our Privacy Policy, available on our website.

Our Rights:

Vendor Finance reserves the right to terminate these Terms at any time by providing you with one month’s notice. Additionally, we may – at our sole discretion, suspend, cancel, or terminate (in whole or in part) this agreement or your access to any or all Services by providing notice to you if:

  • a) You breach this agreement, we suspect fraudulent, illegal, or objectionable use of our Services by you
  • b) We determine, in our sole discretion, that you pose a threat or risk to our Services, our staff, or any other person or entity, or
  • c) You have not accessed our Services for 12 consecutive months. We are not liable to you or any third party for any suspension, cancellation, or termination of the agreement or your access to our Services.

Discontinuation of Services or Features:

  • a) We may, at our sole discretion, discontinue (temporarily or permanently) all or parts of our Services or service features or functionality. This action may be taken in response to legal or regulatory requirements, our business needs, or other factors. In such cases, we will make reasonable efforts, but are not obligated, to provide advance written notice.
